The Advanced Topics for Experienced Public Company Directors program is designed for directors who have experience serving on public company boards or very large private for-profit boards.

7:45am: Registration

8:15-9:10am: ADVANCED TOPICS IN CORPORATE GOVERNANCE: Key issues in Corporate Governance today including Disruption (geopolitical, technological); M&A; Disclosure (transparency with stakeholders helping to build bridges); Innovation and the role of the Board; Climate.  

LAW AND FINANCE 

9:10-10:10am: FIDUCIARY DUTIES: The latest court cases that impact fiduciary responsibilities, shareholder rights or Director risks, including how do you know you have enough D&O coverage and what questions directors should be asking.  

10:10-11:00am: HOT TOPICS FROM AUDIT COMMITTEE: What every director needs to know  

11:00-11:20am: Break  

11:20am-12:15pm: INVESTORS: Activists and Investors. Panel discussing current environment and specific viewpoints, actions by both activists and investors and Boards different approaches.  

12:15-12:45pm: Lunch  

12:45-1:50pm: EMERGING TECHNOLOGIES: Setting the stage of emerging technologies including Quantum and AI.  AI will focus on practical applications.

1:50-3:10pm: MASTERING COMPLEX RISK IN A VOLATILE WORLD: WAR GAMES Interactive Crisis Management  

3:10–3:35pm: Break  

3:35-4:35pm: STRATEGY: Building a Culture of innovation and growth. Considerations of new technologies, ideas and transformation.   

4:35–5:30pm: COMPENSATION: Hot Topics for the Compensation Committee; Compensation issues (Executives and Directors) current focus of ISS/Glass Lewis and Shareholders.   

5:30–5:45pm: NACD Certification   

5:45-6:30pm: Networking
