You are invited to our 2024 Annual General Meeting!


Thank you for your membership and support of Seeding Victoria over the past year. We greatly appreciate all of our members, and we hope that you will join us for an update and preview for plans for 2024-25 at our Annual General Meeting on October 19th, at the Creswick RSL Club.

We are tabling a Special Resolution to Amend the Rules of Seeding Victoria, please see below for the AGM Itinerary and for the Special Resolution proposal.

AGM 2024 Itinerary

Please see the itinerary as follows:

10:45 am: Arrive at Creswick RSL Hall, tea and coffee, snacks available

11:00 am: Acknowledgement of Country, Welcome to attendees 

11:10 am: Presidents (and Executive) Board address and year summary

11:30 am: AGM proceedings, Special Resolution, Board nominations

12:30 pm: Life Membership to Seeding Vic special presentation 

12:45 pm: Coffee break

1:00 pm: Speaker and Guest Speaker:
Seed Pod Program: What is it, and how is it going? Presented by Elle Fox from Seeding Victoria and Jackson Cass from Moorabool Catchment Landcare Group

1:30 pm: Lunch
2:30 pm: Event close 

Details for Special Resolution

It is proposed that the Rules of Seeding Victoria be amended as follows:

  • That the title of Part 8 ‘The Public Fund’ be amended to ‘The Gift Fund’;
  • That the existing clause 78 ‘Establishment of the Public Fund’ be deleted and replaced with the following:

“78 Establishment of the Gift Fund
The Association will maintain a Gift Fund called ‘The Seeding Victoria Gift Fund’:

  1. Which will be used only for the principal purpose of the Association;
  2. All gifts and deductible contributions of money or property for that purpose are made to it;
  3. Any money received because of such gifts or deductible contributions is credited to it; and
  4. It does not receive any other money or property.”

  • That the existing clause 79 ‘Requirements of the Public Fund’ be deleted;
  • That the existing clause 80 ‘Ministerial Rules’ be deleted;
  • That the existing clause 81 ‘Not-for-profit’ be renumbered to clause 79;
  • That the existing clause 82 ‘Conduit Policy’ be renumbered to clause 80;
  • That the existing clause 82 ‘Conduit Policy’ be amended to add the following wording after the existing clause “The Association will not pass a donation of money or property to other organisations, bodies or persons as a condition of a donation.”
  • That the existing clause 83 ‘Winding Up’ be deleted and replaced by the following wording, to be renumbered as clause 81:

 
“81 Winding Up and Revocation
 
If the Association is wound up, or if the endorsement (if any) of the Association as a Deductible Gift Recipient is revoked, any surplus assets of the Gift Fund remaining after the payment of liabilities attributable to it shall be transferred to a charity with a similar charitable purpose to which income tax deductible gifts can be made.”

  • That the existing clause 84 ‘Statistical Information’ be deleted;
  • That the existing clause 85 ‘The Public Fund and Government Taxation Policy’ be deleted.
