The changes are as follows:
Rationale

Currently an annual auditor’s report costs us approximately 40% of our income. As EdTechSA is a charity organisation and our income is less than $70,000 annually, we are not required to have a formal audit or an auditor’s report by a practicing-chartered accountant.  Currently EdTechSA employs a bookkeeper to maintain our financial records and will continue to do so.

We propose the following will allow us to maintain rigorous financial records, take proper fiscal responsibility while complying with all the Consumer and Business Affairs Guidelines and rules governing volunteer Associations.

Proposed Change

We propose the following change to 8.1 General Meetings

GENERAL MEETINGS

8.1       Annual General Meeting
The Annual General Meeting shall be held within five months after the close of the financial year for the purpose of electing the members of the Management Committee. 

8.1.1 The order of the business at the Annual General Meeting shall be:

(i) the confirmation of the minutes of the previous Annual General Meeting and of any Special General Meeting held since that meeting

(ii) the consideration of the accounts and reports of the Management Committee and the auditor’s report (remove these words)

(iii) the election of Management Committee members

(iv) the appointment of auditors (remove this line)

(iv) any other business requiring consideration by the Association in general meeting.

And to

11.6     Proper and full records of all financial transactions shall be kept and audited prior to the Annual General Meeting. (remove “and audited”)

NB: By removing the requirement of a formal audit, EdTechSA can continue to provide detailed financial records at our AGMs but be spared the cost of an unnecessary audit.
