Negotiating Investment Terms with Venture Capitalists & Angels 

We are thrilled to be joined by special guest Philip Mendes to present this all-day workshop on negotiation skills, with a focus on investor term sheets. After this intensive workshop you will be able to more confidently negotiate the terms of investment with an investor.

This workshop is highly subsidised for Victorian Digital and Digitally Enabled Medical Technology Companies thanks to the support of the Australian Medtech Manufacturing Centre and the Victorian Government Department of Jobs Skills Industry and Regions. The subsidised ticket price per attendee is $180 + GST.

Who is the Speaker?

Philip Mendes practiced as a lawyer in Australia for 32 years before retiring from practice. For the last 25 years of practice he practiced exclusively in relation to technology transactions, representing Australian and Asian universities, research institutes, Governments, start-up companies, SMEs, publicly listed companies and a few multinational companies.

Since 2000 Philip has also presented numerous intellectual property and commercialisation related workshops throughout Australia and Asia. Over 200 workshops have been presented in that time.

Workshop Objective:

The objective of this skills development workshop is to help you negotiate the terms of investment into your start-up company by an angel investor, seed fund, venture capitalist, or any other type of investor. When an investor presents you with a term sheet, it will equip you with the following knowledge:

  •  What is negotiable and how and to what extent is it negotiable? 
  • What will you struggle to negotiate? 
  • What are the ways that you can negotiate the term sheet to be more favourable to you, without spooking the investor? 
  • What do some of those mysterious phrases in the term sheet mean, and what are their full implications? 
  • What must you make sure the terms of investment include to meet your needs? 

After this intensive workshop you will be able to more confidently negotiate the terms of investment with an investor.

09:00am - Factors influencing an investor’s decision to invest – do you match what the investor is looking for?

09:45am - Preparing for an investor’s due diligence on your IP rights what will the investor check and will you be ready?

10:30am - Morning Tea 

11:00am - Negotiating the way that the investment is made

12:30 - Lunch 

13:30 - Negotiating share preferential rights sought by an investor

14:15 - Negotiating company governance models and the terms of a Shareholders Agreement

15:00 - Afternoon Tea 

15:30 - Practical Exercise: An investor’s Term Sheet

16:30 - Report back on practical exercise

17:00 - Networking Reception  

17:30 - Event Close

  • All participating companies will be required to participate in post-workshop surveys as a condition of registration. Companies which do not complete post-workshop surveys may be required to pay a registration fee for any future workshops.
