Why does NADA need an SGM?
In changing the NADA Constitution in 2022, the omission of the words ‘up to’ nine (9) Elected Directors has meant that the NADA board cannot operate without nine elected directors. Meaning that if one elected director resigns, the filling of a casual vacancy would not meet the requirements to operate, as the casual vacancy was not elected by the membership. See the attached Explanatory document for more information.
NSW Drug Summit Consultation
We anticipate that the SGM will only take 30 minutes. NADA has planned a 2-hour consultation to understand the views of members in the lead up to the Drug Summit.
Your participation is important to us. This will be a hybrid event so that you can listen to the proceedings, view the presentations, ask questions of the board and Chief Executive Officer, and vote in real-time where required.

Special resolution
The Network of alcohol and other drugs agencies is proposing to amend its constitution by replacing the Association's constitution with the New Constitution.
Amendment of constitution
To consider and, if thought fit, to pass the following resolution as a special resolution:
"RESOLVED, as a special resolution, that the existing constitution of the Association is repealed and that the Association adopt the New Constitution
- Include the new words ‘up to’ nine (9) Elected Directors
- Amend 4.6.4 to allow the Board to suspend a membership as an alternative to expelling.
- Other edits that seek to improve the clarity of the NADA constitution."

If you are a voting delegate and unable to attend the meeting at the scheduled time, you can participate by appointing a proxy to attend and vote on your behalf. Download the proxy form.
